On April 12, 2005, the Compensation Committee of the Board of Directors of Veeco Instruments Inc. (Veeco) approved an amendment to Veecos 2000 Stock Incentive Plan (the Plan) to authorize the grant of an additional 1,500,000 awards thereunder (the Amendment). The effectiveness of the Amendment is subject to the approval of stockholders at Veecos Annual Meeting of Stockholders to be held on May 25, 2005.
On May 16, 2005, the Compensation Committee adopted a resolution clarifying that Edward H. Braun, Veecos Chairman and Chief Executive Officer, would not be eligible to receive any of the 1,500,000 new awards made available under the Plan as a result of the Amendment. The action by the Committee would not affect awards previously received under the Plan by Mr. Braun or awards he may receive in the future, other than from the 1,500,000 awards becoming available under the proposed Amendment.
