Item 1.01 Entry into a Material Definitive Agreement
On July 20, 2006, the Board of Directors of Veeco Instruments Inc. (Veeco) approved an amendment to Veecos 2000 Stock Incentive Plan, as amended (the Plan), applicable to employees, directors and consultants of the Company, to provide for the award of restricted stock units and to make certain other changes (the Amendment). Although the plan already provided for the grant of restricted stock, the Compensation Committee of the Board believes that RSUs provide additional flexibility and other benefits as compared to restricted stock.

Item 2.02 Results of Operations and Financial Condition.
On July 24, 2006, Veeco issued a press release announcing its financial results for the quarter ended June 30, 2006. A copy of the press release is furnished as Exhibit 99.1 to this report.
