On December 15, 2008, iStar Financial Inc. (the “Company”) filed a Current Report on Form 8-K to announce the retirement of Catherine D. Rice from the position of executive vice president and chief financial officer of the Company in March of 2009. This amendment to the Current Report on Form 8-K is being filed to report that Catherine D. Rice retired from the Company on March 6, 2009. Effective March 6, 2009, James D. Burns has assumed the position of chief financial officer of the Company.
