Good morning,

 

We would like to provide you with an update on the proposed merger of Dex One and SuperMedia and to thank you for your good work serving our customers every day.

 

The merger integration planning process is on schedule and the joint efforts toward a post-close integration of the companies have been excellent, guided by strong agreement that the number one priority for all of us is to return to growth.

 

As you may recall, merger integration planning consists of a four-phase process:

 

I. Evaluating current processes, organization and performance; 

II. Analyzing the necessary strategy, priorities and objectives to drive transformation and growth of the combined company post-merger;

III. Creating an integration and change plan to achieve the objectives; and

IV. Defining the organization and staffing to support the plan.

 

To drive the process, we established a core oversight team and 18 functional teams. The core team — 10 people from strategy, finance, IT, sales operations and human resources in the two companies — has overall charge of the process under the leadership of John Mieske, a business integration expert who formerly worked for Dex One.  The core team oversees the process, provides structure and guidance, and ensures accountability by the functional teams while keeping everything on schedule.

 

The functional teams typically include one representative from each company. Supported by the executive leaders in each area, they reach into their organizations to secure the information, expertise and analysis necessary to accomplish the deliverables for each phase. Information that is confidential or sensitive is not shared except in accord with legal guidance.

 

Phase I evaluation is now complete.  It was a very important process to understand the similarities and differences in our respective operations; identify best practices from each organization; and create the

 



 

shared understanding critical to completing a plan to achieve profitable growth in customers and revenue post-merger.

 

Phase II is underway and will use all the learning from Phase I to develop approaches consistent with transforming the way we do business in order to reach our objectives as a combined company.

 

Please remember that our two companies continue to operate separately until the merger closes.

 

Planning for the merger of two companies while running our respective businesses is never easy — especially when the economic environment and rapid changes in local media, technology and competition add additional complexity.
