Merger Integration Update - Letter from Peter McDonald

Today we took another important step toward completing our planned merger with Dex One. This morning we jointly announced that we have reached agreement with a committee representing senior lenders from both companies on important changes to the companies credit agreements. We can now move forward with the process to complete the transaction, which we expect to happen in the first half of 2013. You can read the full announcement release by clicking on this link.
The next steps in the process are to seek approval of the credit agreements from the rest of the senior lenders, and then to submit the merger to our stockholders for approval.
Approval of the credit amendments requires a favorable vote from 100 percent of the lenders. If we fail to secure unanimous support, we and Dex One may seek to implement the merger and the credit agreement amendments through pre-packaged reorganizations under Chapter 11 of the U.S. Bankruptcy Code. It is important to remember that this approach would simply be a tool to effect the merger, and day-to-day operations would continue without interruption with little to no effect on employees, customers and other stakeholders. While reorganization would not be our first choice, we are preparing for that possibility if that course of action becomes necessary.
