ITEM 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
(a) On October 13, 2005, the Board of Directors of Pall Corporation (the “Registrant”) approved an amendment to the Registrant’s Bylaws as previously amended on April 13, 2005. The amendment changed the number of directors on the Registrant’s Board of Directors from twelve to eleven, and is effective immediately prior to the 2005 annual meeting of shareholders.
