(1) | Reflects a contingent option grant, pursuant to the Issuer's Deferred Compensation Program, exempt under Rule 16b-3. The option grant is based on the Reporting Person's election to defer a portion of his Key Officers Incentive Plan 2017 cash award which is earned only upon the achievement of Company ROCE and Cash Flow targets, and certain performance goals. The rights and obligations of the parties were not fixed and the number of option shares to be granted, if any, were not known until 2/20/2018 when the Issuer's Compensation Committee determined that requirements for the cash award had been met, and therefore, the conditions for the option grant had been satisfied. |
