Item 5.07.  Submission of Matters to a Vote of Security Holders.
 
On December 9, 2015, Intrawest Resorts Holdings, Inc. (the "Company") held its 2015 Annual Meeting of Stockholders (the “Annual Meeting”). At the Annual Meeting, stockholders considered:  (1) the election of two Class II director nominees named in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on October 28, 2015 (the “Proxy Statement”); and (2)  the ratification of the selection of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year ending June 30, 2016. The results of the matters voted on at the Annual Meeting, based on the presence in person or by proxy of holders of record of 43,774,800 shares of the 45,219,380 shares of the Company’s common stock entitled to vote, were as follows:
