Item 8.01 Other Events

On November 22, 2006, Univest Corporation of Pennsylvania, parent company of Univest National Bank and Trust Co., issued a press release reporting the declaration of its fourth quarter dividend of $0.20 per share. This is an increase of $.01 or 5.3% over the same period last year. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
