ITEM 1.01.ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
 
 
On January 31, 2007, Insignia Solutions Inc. (“Insignia”), a subsidiary of Insignia Solutions plc (the “Registrant”) entered into an amendment (the “Amendment”) to its Bridge Loan Agreement dated as of December 21, 2006 (the “Loan Agreement”) with a strategic partner (the “Lender”). Insignia had borrowed $750,000 from the Lender on December 22, 2006. Pursuant to the Amendment, Insignia borrowed an additional $375,000 on January 31, 2007, and the Lender has agreed to lend to Insignia up to an additional $375,000 on or before February 28, 2007, subject to the Lender’s approval of Insignia’s disbursements of the borrowed funds and other conditions precedent.
