Item 8.01 Other Events

On November 23, 2007, Univest Corporation of Pennsylvania, parent company of Univest National Bank and Trust Co., Univest Insurance, Inc. and Univest Investments, Inc., issued a press release reporting the declaration of its fourth quarter dividend of $0.20 per share. This dividend distribution remains consistent with the fourth quarter of 2006. A copy of this press release is attached to this Current Report on Form 8-K as Exhibit 99.1.
