EXPLANATORY NOTE

The purpose of this Amendment No. 19 to the Reporting Persons’ Schedule 13D is to correct certain mathematical errors with respect to the number of shares of common stock of Harris & Harris Group, Inc. beneficially owned by the Reporting Persons as disclosed in Amendment No. 18 to the Reporting Persons’ Schedule 13D, filed on August 7, 2009 (“Amendment No. 18”), and to reflect the expiration on June 26, 2009 of certain options previously granted to Charles E. Harris.  No other items of Amendment No. 18 are being amended hereby.

Item 1.                 Security and Issuer.

The class of equity securities to which this statement relates is the common stock, par value $.01 per share (the "Common Stock"), of Harris & Harris Group, Inc., a New York Corporation (the "Company").  The address of the principal executive offices of the Company is 111 West 57th Street, Suite 1100, New York, New York 10019.

Item 2.                 Identity and Background.

(a)         The reporting persons are Charles E. Harris and Susan T. Harris (the “Reporting Parties”).
 
(b)        The Reporting Parties' address is: c/o Lawrence B. Thompson, Esq., Emmet, Marvin & Martin, LLP, 120 Broadway New York, NY 10271.
 
(c)         Mr. Harris is the former Chairman, Chief Executive Officer, and Managing Director of the Company.  Mrs. Harris is a freelance financial writer and is the former Secretary of the Company.  Neither Mr. or Mrs. Harris is presently employed by the Company.
 
(d)         Neither of the Reporting Parties has during the last five years been convicted in a criminal proceeding.
 
(e)         The Reporting Parties have not been and are not subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violations with respect to such laws.
 
(f)         The Reporting Parties are husband and wife and are citizens of the United States of America.

Item 3.                 Source and Amount of Funds or Other Consideration.

Not applicable.

Item 4.                 Purpose of Transaction.

Between the dates of July 1, 2009 and August 5, 2009, Charles E. Harris sold an aggregate of 278,571 shares of the Company’s Common Stock.  In addition, approximately 26,666 of the options previously granted to Mr. Harris by the Company expired on June 26, 2009.  As a result, Mr. Harris now owns 1,934,515 shares of the Company’s Common Stock directly.  Indirect beneficial ownership of Mr. Harris’ 1,934,515 shares may be attributed to Mrs. Harris. In addition, Mr. Harris sold 60,000 call options on the Company’s Common Stock from June 4, 2009 to June 26, 2009.  The aggregate amount of the Company’s Common Stock beneficially owned by Mr. and Mrs. Harris has decreased from 8.29% to 7.17%, and would further decrease to 6.95% if all of the call options Mr. Harris sold were exercised.
