announced (the Announcement”) that the Special Meeting of the Stockholders will
be held on July 2, 2010 at 10:00 a.m. at Bayards, One Hanover Square, New
York City, New York, 10004, local time. The full meeting agendas are detailed in
the proxy statement/prospectus which will be mailed to all stockholders of
record as of the close of business on May 3, 2010.
Capital
also announced that the Registration Statement on Form S-4 filed by it
relating to the Company’s proposed transaction with Nayarit, Inc., was declared
effective by the Securities and Exchange Commission on Tuesday, June 8,
2010.
