We are an innovative medical device company that is designing, developing and commercializing exoskeletons that allow wheelchair-bound individuals with mobility impairments or other medical conditions the ability to stand and walk once again. Of these shares, 3,436,014 were issued to the selling shareholders upon the conversion of preferred shares upon our initial public offering (“IPO”) in September 2014 or otherwise were acquired before our IPO. The preferred shares were acquired from us in private placement transactions prior to our IPO and as a result of anti-dilution adjustments to such shares at the time of our IPO. The remaining 178,794 shares were issued upon the exercise of warrants that were acquired prior to our IPO and exercised upon our IPO.

The selling shareholders are expected to consist of those shareholders who have the right to include their securities in a registration or offering effected by us under the terms of our Amended and Restated Shareholders’ Rights Agreement dated July 14, 2014.

Under the Israeli Companies Law, a company may not exculpate an office holder from liability for a breach of the duty of loyalty.
