CALCULATION OF FILING FEE:
|Transaction valuation(1)||Amount of filing fee(2)|
|(1)||Estimated for purposes of calculating the amount of the filing fee only. The transaction is an offer by the issuer to holders of its $3.57 original warrants to exchange up to 2,000,000 of such original warrants for an equal number of $3.00 new warrants of the issuer, conditioned upon the immediate exercise of such new warrants. The transaction valuation is calculated pursuant to Rule 0-11 of the Securities Exchange Act of 1934, as amended. The transaction valuation assumes that 2,000,000 outstanding original warrants are tendered in the offer, and was determined using $5.365 per original warrant, which represents the average of the high and low sales price of the issuer’s original warrants on December 27, 2017, as reported by the NASDAQ Capital Market.|
|(2)||The amount of the filing fee, calculated in accordance with Rule 0-11, equals the transaction valuation multiplied by .0001245.|
