ITEM 5.07 Submissions of Matters to a Vote of Security Holders

Espey Mfg. & Electronics Corp. (the “Company”) held its Annual Meeting of Stockholders (“Annual Meeting”) on December 2, 2016. At the Annual Meeting, the stockholders of the Company elected Patrick T. Enright Jr. and Barry Pinsley to the Board of Directors as the Class B Directors. They will serve for a three-year term expiring at the 2019 Annual Meeting or until their respective successors are duly elected and qualified. The result of the vote was as follows:

In addition, the stockholders approved, on an advisory non-binding basis, the compensation of the Company’s Named Executive Officers in the Company’s proxy statement for the Annual Meeting. The result of the vote was as follows:

On December 5, 2016, Espey Mfg. & Electronics Corp. issued a press release announcing that the Company's Board of Directors had declared a regular quarterly dividend. A copy of the press release is furnished as Exhibit 99.1 to this report.
