Item 8.01.    Other Events

Western Union Financial Services, Inc., a subsidiary of First Data (NYSE: FDC), was advised on March 16, 2004, by the United States Department of Justice (DOJ) that the DOJ had closed its civil investigation of Western Union's contracting practices in the money transfer service industry because the facts did not support a claim that Western Union's contracting practices have had an anticompetitive effect on markets for money transfer or emergency bill payment services in the United States. Thirteen states also participated in the investigation. To date ten of the thirteen states have closed their investigations. Western Union expects to hear from the remaining three states concerning the status of their investigations in the near future.
