Item 12. Results of Operations and Financial Condition

 

On July 22, 2004, the Company issued a press release regarding its earnings for the period ended June 30, 2004. A copy of this release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference. In addition, on July 22, 2004, the Company will hold a teleconference for analysts and media to discuss the second quarter results. The teleconference will be webcast on the Company’s website at http://www.albemarle.com/finanfrm.htm

 

The press release attached as Exhibit 99.1 includes the non-GAAP measure of earnings excluding special items. Management believes that reporting income measures that exclude special items more accurately reflects the Company’s operations and performance.
