Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On October 7, 2004, Ted J. Lingard submitted his resignation as Vice President and Chief Operating Officer of Sonic Foundry, Inc. (the Company), to accept a position as President of a Madison, WI based manufacturing company. Mr. Lingards resignation will be effective October 8, 2004.
