Item 7.01 REGULATION FD DISCLOSURE

 

A. Introduction

 

On April 29, 2005, Inergy Holdings, L.P. (“Holdings”), one of our affiliates, filed with the Securities and Exchange Commission (the “Commission”) Amendment No. 3 to its Registration Statement on Form S-1 (the “Amendment”). Within such Amendment, Holdings included information with respect to our estimated consolidated minimum EBITDA necessary for Holdings to make full quarterly distributions to its unitholders for the four quarters ending June 30, 2006. For more information, please see “Cash Distribution Policy and Restrictions on Distributions” in Holdings’ Amendment.

 

B. Limitation on Incorporation by Reference

 

In accordance with General Instruction B.2 of Form 8-K, the information set forth in this Item 7.01 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section, nor shall such information be deemed incorporated by reference in any filing under the Securities Act or the Exchange Act, except as shall be expressly set forth by specific reference in such a filing.
