Item 8.01. Other Events.
On June 29, 2005, Triad Hospitals, Inc. (the “Company”) issued a press release announcing that its public offering of common stock has been priced at $53.62 per share and increased in size to 3,729,951 shares for gross proceeds of approximately $200 million. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
