Item 8.01  Other Events.

On June 28, 2006, Indevus Pharmaceuticals, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with UBS Securities LLC, as representative of the several underwriters named therein (collectively, the “Underwriters”), related to a public offering of 7,000,000 shares of common stock, par value $0.001 per share, of the Company (the “common stock”). The underwriters have agreed to purchase the shares from the Company pursuant to the Underwriting Agreement at a price of $4.371 per share. Under the terms of the Underwriting Agreement, the Company has granted the Underwriters an option, exercisable for 30 days, to purchase up to an additional 1,050,000 shares of common stock to cover over-allotments, if any. The offering is being made pursuant to the Company’s effective shelf registration statement on Form S-3 (Registration No. 333-130741) previously filed with the Securities and Exchange Commission. The form of Underwriting Agreement is filed as Exhibit 1.1 to this Report, and the description of the material terms of the Underwriting Agreement is qualified in its entirety by reference to such exhibit.
