Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On January 2, 2007, the Registrant’s Board of Directors appointed Bernard H. Cherry as a director. Mr. Cherry will serve as a Class III director, with a term expiring upon the election and qualification of directors at the annual meeting of stockholders to be held in 2009. As a non-employee director, Mr. Cherry will participate in the Registrant’s non-employee director compensation program.

On January 4, 2007, the Registrant issued a press release announcing the appointment of Bernard H Cherry as a member of the Registrant’s board of directors. A copy of the press release is furnished as Exhibit 99.1 hereto.
