Item 8.01 Other Events

On April 28, 2008, Indevus Pharmaceuticals, Inc. received from Alkermes, Inc. a letter purporting to terminate the Feasibility Agreement dated as of February 4, 2005 between Indevus and Alkermes (the “Agreement”) relating to the development of an inhaled formulation of a pharmaceutical product that includes trospium chloride for the treatment of chronic obstructive pulmonary disease. Over the last several months Indevus and Alkermes have been engaged in discussions with several third parties relating to the further development and commercialization of this product and with each other to provide for further development by Indevus and Alkermes.

Indevus disputes Alkermes’ position that the Agreement has terminated and Indevus intends to pursue vigorously all its rights and remedies under the Agreement and applicable law.

Indevus owns or has an exclusive license to various know-how, and owns the IND, relating to the product that has been under development by Indevus and Alkermes. Indevus also has certain rights to joint intellectual property.
