Item 8.01 Other Events.

On December 23, 2008, The PNC Financial Services Group, Inc. (“PNC”) held a special shareholders meeting at which its shareholders approved the issuance of PNC common stock in connection with the merger of National City Corporation (“National City”) with and into PNC. In a separate meeting on December 23, 2008, National City stockholders approved the acquisition, which is expected to close on December 31, 2008. Both shareholder groups approved the transaction by a substantial margin. Attached to this Report as Exhibit 99.1 and filed herewith are the electronic presentation slides which were posted on PNC’s web site on December 23, 2008 and used in connection with the special shareholders meeting.

Additional Information about the Merger and Where to Find It

The proposed merger will be submitted to National City’s and PNC’s shareholders for their consideration. PNC has filed a Registration Statement on Form S-4 with the Securities and Exchange Commission (the “SEC”), which includes a joint proxy statement/prospectus of PNC and National City that also constitutes a prospectus of PNC.
