Section 1. Registrants Business and Operations
Item 1.01 | Entry into a Material Definitive Agreement |
On August 6, 2009, Handleman Company (the Company) entered into an Agreement of Sale with General Development Company, L.L.C. (the Purchaser), pursuant to which the Company agreed to sell its corporate headquarters building located at 500 Kirts Boulevard, Troy, Michigan to the Purchaser for an amount equal to $3,725,000, payable in cash at the closing of the sale. The closing of the transaction is subject to the Purchasers due diligence investigation and to other customary conditions. In the Agreement of Sale, the Purchaser agreed to lease a portion of the premises to the Company following the closing of the sale to allow the Company to continue to use the premises to conduct the wind down of its operations.
