Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On July 6, 2011, National Retail Properties, Inc. (the “Company”) entered into the Tenth Supplemental Indenture to the Indenture dated as of March 25, 1998, as amended, between the Company and U.S. Bank National Association, as trustee, relating to its 5.500% Notes due 2021 (the “Notes”) that were issued pursuant to an underwriting agreement, dated June 28, 2011, among the Company and Merrill Lynch, Pierce, Fenner & Smith Incorporated and Wells Fargo Securities, LLC, as representatives of the several underwriters named therein, for the sale of up to $300,000,000 aggregate principal amount of the Notes.

The Notes are senior unsecured obligations of the Company, will mature on July 15, 2021 and will rank equally with all of the Company’s other existing and future senior unsecured indebtedness. The Notes will bear interest at 5.500% per annum. Interest on the Notes is payable semi-annually on January 15 and July 15 of each year, beginning on January 15, 2012.
