Item 2.02 Results of Operations and Financial Condition.

On November 17, 2015, pursuant to the terms of Recro Pharma, Inc.’s (the “Company”), credit agreement with Orbimed Royalty Opportunities II, LP, the Company paid $8.5 million of the outstanding principal on its senior secured term loan from free cash flow generated during the third quarter of 2015 by the Company’s subsidiary, Recro Gainesville LLC. The information set forth under this Item shall be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934.
