Item 8.01

Results of Operations and Financial Condition.

On December 6, 2018, Autoliv, Inc. (the “Company”) issued a press release providing an update on the European Commission’s (EC) investigation of suppliers of occupant safety systems. As previously disclosed, since June 2011, the Company has been subject to an investigation of anti-competitive behavior among suppliers of occupant safety systems in the European Union (the “EC investigation”). The Company paid in the first quarter of 2018 a fine that was imposed by the EC at the conclusion of a discrete portion of the EC investigation. Based on management’s estimation and the advice of counsel, the Company will accrue $210 million in the fourth quarter of 2018 to pay a fine that the EC may impose on the Company in connection with the remaining portion of the EC investigation.
