(1) These restricted shares were granted under the Company's 2013 Omnibus Incentive Plan and vest in four equal annual installments beginning on the first anniversary of the grant date, subject to continued employment through the vesting date. Upon retirement at or after age 62 with five years of continuous service, the restricted shares continue to vest as scheduled, subject to the reporting person's agreement not to engage in solicitation or competitive activity with the Company.
(2) The transactions reported on this Form 4 were effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person.
(3) These options were granted on February 3, 2010 and scheduled to vest in five annual installments. 57,091 of these options are currently vested. The remaining 20,584 of these options will vest on February 3, 2015, subject to continued employment through the vesting date.
(4) This transaction was executed in multiple trades at prices ranging from $23.66 to $24.15. The price reported above reflects the weighted average sale price. The reporting person hereby undertakes to provide upon request to the SEC staff or a security holder of the issuer full information regarding the number of shares and prices at which the transaction was effected.
