(b) Mr. Jonathan A. Bernstein voluntarily resigned as director of Arbor
Realty Trust, Inc. (the "Company"), effective February 8, 2006. Mr. Bernstein's
resignation did not involve a disagreement with the Company on any matter
relating to the Company's operations, policies or practices.
