Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On December 16, 2008, Portfolio Recovery Associates, Inc. (the "Company"), entered into an interest rate forward swap transaction (the "Swap") with J.P. Morgan Chase Bank, National Association pursuant to an ISDA Master Agreement which contains customary representations, warranties and covenants. The Company entered into the Swap to mitigate the interest rate risk on its Fourth Amended and Restated Loan and Security Agreement, as described in the Company’s September 8, 2008 Form 8-K.

The Swap has an effective date of January 1, 2010, with an initial notional amount of $50,000,000. Under the Swap, the Company will receive a floating interest rate based on 1-month LIBOR and will pay a fixed interest rate of 1.89% through maturity of the Swap on May 1, 2011. Notwithstanding the terms of the Swap, the Company is ultimately obligated for all amounts due and payable under the credit facility.

The Company may enter into additional swap transactions in the future from time to time.
