Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 20, 2009, John R. Tyler, Jr. informed Financial Institutions, Inc. (the "Company") that he will not be standing for re-election to the Board of Directors when his current term expires at the Annual Meeting of Shareholders to be held May 6, 2009. Mr. Tyler has been a director since 2000 and is currently serving as Chairman of the Executive, Nominating and Governance Committee and a member of the Audit Committee. Mr. Tyler’s decision not to stand for re-election was not due to a disagreement with the Company.
