On August 23, 2006, Alcatel issued an internal communication to Alcatel employees. The text of the communication follows.

 

Alcatel and Lucent confirmed that they had submitted a formal notice to the Committee on Foreign Investment in the United States (CFIUS), seeking U.S. governmental approval of their pending merger.

 

We expect the US government agencies to do a thorough and thoughtful review of our proposal as part of the CFIUS process. The initial review and investigation phases total 75 days and the President has 15 days to take action, so the entire process can take up to 90 days after filing the formal notice.

 

The two companies have cleared several key regulatory and anti-trust milestones, including approval by the U.S. Securities and Exchange Commission, France's AMF and anti-trust clearance in the United States and the European Union. On Sept. 7 the shareholders of Alcatel and Lucent will vote on the proposed merger. We remain on track to close this merger by the end of this calendar year.
