Item 8.01.    Other Events.

On April 28, 2016, Cowen Group, Inc. (the “Company”) issued a press release announcing that the Company’s Board of Directors has declared a quarterly cash dividend of $14.06 per share on the Company’s 5.625% Series A Cumulative Perpetual Convertible Preferred Stock. The dividend is payable on May 16, 2016, to the holders of record at the close of business on May 1, 2016. A copy of the press release is attached hereto at Exhibit 99.1.
