PART III - NARRATIVE

     State below in reasonable  detail the reasons why Forms 10-K,  20-F,  11-K,
10-Q,  N-SAR, or the transition  report or portion  thereof,  could not be filed
within the prescribed time period.


The  Registrant  has not filed its Form 10-KSB the year ended  December 31, 2004
because it has not had sufficient  financial resources to engage its independent
accountants to conduct an audit of the December 31, 2004  financial  statements,
nor has the  Registrant's  limited  staff had time to  prepare  the Form  10-KSB
itself.  For the same reasons,  the  Registrant  will be unable to file its Form
10-QSB for March 31, 2005 by the extended due date. The Registrant  will use its
best  efforts  to file  both the Form  10-KSB  and  Form  10-QSB  as soon as its
resources permit.
