Dear Fellow Colleagues:

Today is a special day in our companies’ history. We are thrilled to share with you news of a transformational development for all of us, for our clients and for our industry.

Publicis Groupe and Omnicom are announcing a merger of equals that will create the world’s leading advertising, marketing services, digital and communications firm. The new company, which we are calling Publicis Omnicom Group, will have 130,000 employees and combined annual revenue of $22.7 billion / €17.7 billion.

This merger is a historic opportunity for us to reshape our industry and set a new standard for best-in-class service. Our combined group brings together the most talented teams in the industry and the world’s largest portfolio of iconic brands. Together, we will be able to serve our clients with exceptional expertise, collaboration and creativity across the full spectrum of disciplines and geographies, at scale and in an ever-changing environment.

We believe Publicis Omnicom Group will be exceptionally well positioned to not only embrace the pace of change in our business, but also capture the many opportunities that change creates. We have seen the rapid development of new media giants, the blurring of roles among media players, and the fundamental changes in consumer behavior as people adopt new technologies. Publicis Omnicom Group will create powerful and innovative solutions to support our clients’ brands in this evolving environment. Equally important, it will create exciting new opportunities for our talented employees to build their skills and their future.

It is important to emphasize that we are bringing our businesses together as a true merger of equals. We share common values and respect for each other, which have only deepened since we began working side-by-side to make Publicis Omnicom Group a reality.

Upon the receipt of regulatory and shareholder approvals, we expect the transaction to close in the fourth quarter of this year or the first quarter of 2014.

We are committed to keeping you updated on our progress. In the meantime, please continue to focus on what you are the best in the world at providing – great work and outstanding service.

We hope you share our enthusiasm for this merger and our exciting future together. Welcome to Publicis Omnicom Group!

Sincerely,

Maurice Lévy John Wren
