Item 8.01 Other Events.
     On December 8, 2005, Maritrans Inc. (“we”, “us”, “our” or the “Company”), entered into a Underwriting Agreement with UBS Securities LLC, as representative of the several underwriters, that provides for the issuance and sale by the Company, and the purchase by the underwriters, of 3,000,000 shares (the “Firm Shares”), of our common stock at $26.00 per share. We have also granted to the underwriters an option to purchase up to 450,000 additional shares of our common stock (collectively with the “Firm Shares”, the “Shares”), to cover over-allotments, if any. The sale of the Firm Shares will result in net proceeds to the Company, after underwriting commissions and offering expenses of approximately $73.1 million or $24.63 per share. The offering of the Shares has been registered under the Securities Act of 1933, as amended, pursuant to a shelf registration statement on Form S-3 (File No. 333-128108). We expect the transaction to close on Wednesday, December 14, 2005. A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this report and is incorporated by reference herein.
