Section 5 – Corporate Governance and Management

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain          Officers; Compensatory Arrangements of Certain Officers.

On April 3, 2018, AZZ Inc. (the “Company”) transitioned Tim Pendley from his existing position as Senior Vice President, Chief Operating Officer – Metal Coatings and in connection therewith, the Company offered Mr. Pendley continued employment to serve as Strategic Advisor to CEO, whereby Mr. Pendley would continue his employment in his new role through February 28, 2019. Tom Ferguson, the Company’s Chief Executive Officer, has assumed direct leadership of the Metal Coatings Business Segment to focus on and drive the acceleration of several profitable growth initiatives.
