ITEM 8.01 Other Events
On May 18, 2007, Espey Mfg. & Electronics Corp. issued a press release
announcing that the Company's Board of Directors had declared a cash dividend
and increased management authorization to repurchase Company stock periodically.
A copy of the press release is furnished as Exhibit 99.1 to this report. The
