Item 8.01. Other Events.
 
On March 10, 2014, Tucson Electric Power Company (the “Company”) issued and sold $150 million aggregate principal amount of its 5.00% Notes due 2044 (the “Notes”). The Company intends to use the net proceeds from the sale to repay approximately $90 million on its revolving credit facility, with the remaining proceeds to be applied to general corporate purposes. The Notes were registered under the Securities Act of 1933, as amended, pursuant to Registration Statement No. 333-181305-01.

This Current Report on Form 8-K is being filed to report as exhibits certain documents in connection with the issuance and sale of the Notes.
