On November 14, 2008, the Registrant issued a press release announcing the results of the Annual Meeting of Stockholders held on November 10, 2008. The Registrant also announced in the press release that it would not be filing an application to participate in the U. S. Treasury’s Capital Purchase Program which was established by Treasury under its Troubled Asset Recovery Program. A copy of the press release is filed as Exhibit 99 to this Form 8-K.
