On May 21, 2007, Ingram Micro Inc. issued a press release announcing that it has received a “Wells Notice” from the staff of the United States Securities and Exchange Commission related to a previously disclosed informal inquiry regarding McAfee, Inc. (formerly Network Associates Inc.).  A copy of the press release is attached hereto as Exhibit 99.1, the text of which is incorporated by reference herein.
