Due to certain unanticipated demands placed on the Registrant's management
and finance staff in connection with the preparation of the Registrant's
financial statements, the Registrant is unable to file its Form 10-QSB for the
period ended June 30, 2005 within the prescribed time period without
unreasonable effort and expense.
