Item 2.02. Results of Operations and Financial Condition.
On January 24, 2006, Centex Corporation, a Nevada corporation (the “Corporation”), issued a press release (the “Press Release”) announcing its results of operations for the quarter ended December 31, 2005, which Press Release was furnished in a current report on Form 8-K submitted by the Corporation on the same date. As previously announced, senior management of the Corporation held a conference call on January 25, 2006 at 10 a.m. Eastern time (9 a.m., Central time) to discuss, among other things, the results of operations of the Corporation for such period. A copy of the materials provided to investors in the form of a webcast in connection with this conference call is being furnished as Exhibit 99.1 hereto. The information contained in such exhibit is incorporated by reference in this Item 2.02, but shall not be deemed filed for any purpose under the Securities Exchange Act of 1934.
Item 7.01. Regulation FD Disclosure.
On January 25, 2006, Centex Corporation, a Nevada corporation (the “Corporation”), held a conference call to discuss the results of operations of the Corporation for the quarter ended December 31, 2005, other information, and earnings per share guidance. A copy of the materials provided to investors in the form of a webcast in connection with this conference call is being furnished as Exhibit 99.1 hereto. Pages 5 through 7 of the information contained in such exhibit are incorporated by reference in this Item 7.01, but shall not be deemed filed for any purpose under the Securities Exchange Act of 1934.
