Item 1.01. Entry Into a Material Definitive Agreement
On August 24, 2007, TAL Advantage I LLC, a special purpose entity and indirect subsidiary of TAL International Group, Inc., amended its existing asset based securitization facility to increase the commitment amount of its Series 2005-1 Floating Rate Secured Notes from $300 million to $350 million.
