Item 2.02. Results of Operations and Financial Condition

     On October 10, 2008, WebMD Health Corp. issued a press release that provided certain information relating to its preliminary results for the third quarter of 2008. WebMD is a publicly traded subsidiary of HLTH Corporation. A copy of the press release is incorporated by reference, as Exhibit 99.1 hereto, from Exhibit 99.1 to the Current Report on Form 8-K filed today by WebMD.
