United, Continental Appear Before Senate Judiciary Committee on Merger

United CEO Glenn Tilton and Continental CEO Jeff Smisek appeared Thursday before a U.S. Senate panel with oversight of antitrust matters to discuss our proposed merger and answer questions from senators.

Glenn and Jeff submitted joint testimony and also delivered opening remarks about the benefits the merger delivers for shareholders, employees, customers and communities, and discussed the need for the industry to return to profitability.

“Our merger creates a more viable and sustainable enterprise at a time when the status quo for our industry is clearly unacceptable,” Glenn said. “Strong U.S commercial aviation will be a key enabler of our nation’s economy.”

Judiciary Committee Chairman Sen. Herb Kohl said, having spent a career in business that he understood the need for profitability and the financial struggles of the industry, and that the committee would review the proposed merger to ensure that customers and competition are protected.

“I should stress that we consider this merger with an open mind, and do not reflexively oppose or support the merger,” Kohl said.

Kohl asked whether the industry would be better served with re-regulation, similar to utilities, where competition is limited and companies providing service are permitted a fair profit.

Glenn said consumers have benefited from de-regulation with airfares that are 30 percent lower, adjusted for inflation, than they were when the industry was more heavily regulated.

Others testifying included a professor of economics and an analyst representing a consumer group who suggested that the merger would reduce competition and drive fares higher.

Glenn said we face low cost carriers in 85 percent of our network, ensuring that customers have choice and competitive fares, and said the industry required change.

“Serial bankruptcy is not a strategy for an industry that is going to benefit any constituent -- not a single one,” Glenn said.

Glenn and Jeff will testify before the U.S. House Transportation and Infrastructure Committee and House Judiciary Committee on June 16 in Washington, D.C.
