Schilling joins Wilson Sonsini from Cooley, where she was a partner in the compensation and benefits practice, as well as the corporate governance, shareholder engagement, and sustainability advisory practices. With over 15 years of experience, she advises on complex, multidisciplinary matters involving executive compensation, employee benefits, and corporate governance. Her clients range from large, multinational public companies to emerging growth businesses and individual executives—demonstrating both her versatility and depth of experience.

Building on her broad background, Schilling regularly structures compensation programs, including employment agreements, bonus and equity incentive plans, severance packages, and change-in-control arrangements—all carefully tailored to support her clients’ strategic goals. Beyond compensation program design, she is a trusted advisor to public companies, executives, and board members on shareholder relations, providing strategic counsel on navigating the impact of proxy advisory firms, institutional investor perspectives, and sensitive governance matters.
