FAIRFAX, Va., Oct. 22, 2020 /PRNewswire/ -- Mainstreet Bancshares, Inc. (NASDAQ: MNSB & MNSBP) today announced that the Board of Directors of the Company authorized a new plan to repurchase up to $17 million of the Company's outstanding common stock. The new common stock repurchase program replaces the Company's previous repurchase program.
Jeff W. Stock repurchases under the new program will be made from time to time, on the open market or in privately negotiated transactions, at the discretion of the management of the Company and in accordance with the limitations set forth in Rule 10b-18 under the Securities Exchange Act of 1934 (the "Exchange Act") and other applicable legal requirements. In addition, open market repurchases of common stock may be made pursuant to Rule 10b5-1 under the Exchange Act which would permit common stock to be repurchased at a time when the Company might otherwise be precluded from doing so under insider trading laws or self-imposed trading restrictions. The timing of these repurchases will depend on a number of factors, including, but not limited to, the market price of the shares, general market and economic conditions, applicable legal requirements and other conditions.
The Company currently anticipates the share repurchase program will extend over a two-year time frame, or earlier if the shares have been repurchased. The share repurchase program does not obligate the Company to repurchase any dollar amount or number of shares, and the program may be extended, modified, suspended, or discontinued at any time.
